The board of directors of gaming provider Evolution recommended that shareholders reject a mandatory cash offer from Candle Lake Limited, an investment company owned by billionaire Kenneth Dart, stating in a statement on the company's website that the offer does not reflect Evolution's fair market value.
The board cited the offer's discount relative to Evolution's current share price as a key factor in its recommendation. It also noted that Candle Lake itself stated it does not intend to acquire all outstanding shares, but is instead fulfilling a mandatory obligation under Swedish law rather than pursuing a full buyout. Shareholders have until September 15 inclusive to decide whether to accept the offer.
The board's rejection sets up a period in which Evolution shareholders must weigh the board's fair-value assessment against Candle Lake's offer terms before the September 15 deadline. Given that Candle Lake has explicitly stated it is not seeking to acquire full ownership of the company, the mandatory offer appears structured primarily to satisfy Swedish takeover regulations rather than to represent a genuine acquisition attempt, a distinction the board highlighted in advising shareholders against tendering their shares.
